✅ 1. Acceptance of Terms

By accessing or using any JL Tools service — including the website at jltools.xyz, any desktop software application, or any related services (collectively, the "Services") — you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Services.

You must be at least 13 years of age to use the Services. By using the Services, you represent that you meet this requirement.

🛠️ 2. Description of Services

JL Tools provides productivity software tools for Windows, including but not limited to Project Launcher, Quick Organizer, and Reel Markr, as well as associated web services, account management, and licensing systems.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

We may perform scheduled or emergency maintenance that temporarily limits access to the Services. We will make reasonable efforts to provide advance notice of scheduled maintenance.

👤 3. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and account credentials.
• Notify us immediately at jorge@lega.tv of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.
• Not share your account credentials with any third party.
• Not create more than one account per person without our written permission.

JL Tools cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

🚫 4. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable federal, state, local, or international law or regulation.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any JL Tools software.
• Circumvent, disable, or interfere with security features or license enforcement mechanisms.
• Use the Services to distribute malware, viruses, or any other malicious code.
• Attempt to gain unauthorized access to any part of the Services, servers, or databases.
• Perform automated scraping, crawling, or data mining of the website without written permission.
• Impersonate JL Tools, its employees, or other users.
• Use the Services for any fraudulent or deceptive purpose.
• Resell, sublicense, or redistribute JL Tools software without written authorization.
• Use the Services in a manner that could damage, overburden, or impair our infrastructure.

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund and may expose you to legal liability.

🔑 5. Software Licenses

Purchase of a JL Tools software product grants you a non-exclusive, non-transferable, revocable license to install and use the software on the number of devices specified in your license plan, for personal or internal business use only.

Unless otherwise stated in your license plan:

• Licenses are valid for the term purchased (subscription or lifetime as specified).
• Licenses are tied to your JL Tools account and may not be transferred to another person or entity.
• You may install the software on up to the number of devices permitted by your license tier.
• Commercial use for internal business purposes is permitted. Resale or redistribution is not.

All licenses are subject to our End User License Agreement (EULA), which is incorporated into these Terms by reference.

©️ 6. Intellectual Property

All content, software, graphics, logos, trademarks, and other materials provided through the Services are the exclusive property of JL Tools or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted no ownership interest in any JL Tools content or software. Any unauthorized use, reproduction, distribution, or modification of JL Tools intellectual property is strictly prohibited and may result in civil and criminal penalties.

"JL Tools," product names (including Project Launcher, Quick Organizer, and Reel Markr), and associated logos are trademarks of JL Tools. You may not use these marks without our prior written consent.

💳 7. Payments & Refunds

Prices for JL Tools products are listed in US dollars and are subject to change. All purchases are final unless otherwise stated.

Refund Policy

• Software purchases: We offer a 7-day refund window from the date of purchase for any software product that does not work as described. To request a refund, email jorge@lega.tv with your order details.
• Subscriptions: Subscriptions may be cancelled at any time. You will retain access through the end of the current billing period. No partial refunds are issued for unused time.
• Lifetime licenses: Lifetime license purchases are non-refundable after the 7-day window.

We reserve the right to deny refund requests where we determine the policy is being abused, such as repeated purchases and refunds of the same product.

Chargebacks

Filing a chargeback without first contacting us for a resolution may result in immediate termination of your account and license. Please contact us before disputing a charge.

⚠️ 8. Disclaimer of Warranties

The services are provided "as is" and "as available" without warranties of any kind, either express or implied.

To the fullest extent permitted by applicable law, JL Tools expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that:

• The Services will be uninterrupted, error-free, or secure.
• Any defects or errors will be corrected.
• The Services will meet your specific requirements or expectations.
• Results obtained from using the Services will be accurate or reliable.

You use the Services entirely at your own risk. No advice or information obtained from JL Tools shall create any warranty not expressly stated in these Terms.

🛡️ 9. Limitation of Liability

To the maximum extent permitted by law, JL Tools shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes, without limitation, damages for loss of profits, revenue, data, business, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Services, even if JL Tools has been advised of the possibility of such damages.

In no event shall JL Tools's total cumulative liability to you for all claims arising from or related to these Terms or the Services exceed the greater of:

• The total amount paid by you to JL Tools in the twelve (12) months preceding the claim, or
• One hundred US dollars ($100.00).

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

🤝 10. Indemnification

You agree to defend, indemnify, and hold harmless JL Tools and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Services.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Any content you submit, post, or transmit through the Services.
• Your violation of any applicable law or regulation.

JL Tools reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

🗑️ 11. Termination

JL Tools may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice, including for violation of these Terms.

Upon termination:

• Your right to use the Services ceases immediately.
• Your software licenses are revoked.
• We may delete your account data in accordance with our Privacy Policy.
• Sections of these Terms that by their nature should survive termination shall survive, including Sections 6, 8, 9, 10, 15, and 16.

You may terminate your account at any time by contacting us at jorge@lega.tv. Termination does not entitle you to a refund except as provided in Section 7.

📄 12. DMCA & Copyright Policy

JL Tools respects intellectual property rights. If you believe any content on our platform infringes your copyright, please send a notice to jorge@lega.tv that includes:

• A description of the copyrighted work you claim has been infringed.
• The URL or location of the allegedly infringing content.
• Your contact information.
• A statement that you have a good faith belief the use is not authorized.
• A statement, under penalty of perjury, that the information is accurate and you are the rights owner or authorized to act on their behalf.
• Your physical or electronic signature.

We will review valid DMCA notices and respond appropriately, including removing infringing content where required.

🔄 13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page.
• Notify registered users by email at least 14 days before changes take effect for material changes.

Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services and may request account deletion.

🔒 14. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your data as described in the Privacy Policy.

⚖️ 15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

For any matters not subject to arbitration under Section 16, you consent to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

🏛️ 16. Arbitration & Class Action Waiver

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally within 30 days of written notice shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at adr.org.

The arbitration shall be conducted in English, seated in Miami-Dade County, Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

You and JL Tools each waive the right to a trial by jury and the right to participate in a class action, class arbitration, or representative action. All claims must be brought in an individual capacity only.

Exceptions

The following are exempt from arbitration and may be brought in court:

• Claims for injunctive or equitable relief to prevent unauthorized use of intellectual property.
• Small claims court actions within applicable jurisdictional limits.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to jorge@lega.tv within 30 days of first accepting these Terms. Your opt-out notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.
