End User License Agreement

🔑 1. License Grant

Subject to your compliance with this EULA and payment of any applicable fees, JL Tools grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download, install, and use the software on the number of devices permitted by your license tier.
• Use the software solely for your personal use or internal business purposes.
• Make one (1) backup copy of the software for archival purposes only.

This license is for the specific version of the software purchased. Access to future major versions may require a separate license or upgrade purchase, unless you hold an active subscription that includes updates.

🚫 2. License Restrictions

You may not:

• Copy, modify, merge, distribute, or create derivative works of the software without written permission from JL Tools.
• Reverse engineer, disassemble, decompile, or attempt to derive source code from the software.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the software.
• Sell, sublicense, rent, lease, lend, or otherwise transfer the software or your license to any third party.
• Use the software to build a competing product or service.
• Use the software in any way that violates applicable law.
• Circumvent or disable license key enforcement, activation systems, or copy protection mechanisms.
• Use the software on more devices than permitted by your license.
• Share your license key publicly or with unauthorized parties.

Any breach of these restrictions constitutes a material breach of this EULA and may result in immediate termination of your license and legal action.

©️ 3. Ownership & Intellectual Property

The software is licensed, not sold. JL Tools and its licensors retain all right, title, and interest in and to the software, including all intellectual property rights. This EULA does not convey to you any ownership rights in the software.

All trademarks, service marks, trade names, and logos associated with JL Tools and its products are the exclusive property of JL Tools. You are not granted any right to use these marks.

Any feedback, suggestions, or ideas you submit regarding the software may be used by JL Tools without obligation or compensation to you.

🔄 4. Updates & Upgrades

JL Tools may, at its sole discretion, provide bug fixes, patches, or updates to the software. Such updates are governed by this EULA unless accompanied by a separate agreement.

The software may automatically check for available updates and notify you. Installation of updates is voluntary unless the update is required for continued access to online features or license verification.

JL Tools is not obligated to provide updates, new features, or continued support for any version of the software.

📊 5. Telemetry & Data Collection

The software may collect limited technical data to support product operation and improvement, including:

• Software version and update check requests.
• Anonymous crash reports and error logs (if enabled).
• Windows version and system architecture for compatibility purposes.
• License validation requests to our servers.

The software does not collect, transmit, or have access to your personal files, documents, keystrokes, screen content, or any data unrelated to the software's own operation.

All data collection is governed by our Privacy Policy.

📦 6. Third-Party & Open Source Components

The software may include open source or third-party components, each of which is subject to its own license terms. JL Tools makes no representation or warranty with respect to any third-party component. Use of any third-party component is at your own risk.

Nothing in this EULA limits your rights under, or grants you rights that supersede, the terms of any applicable open source license.

⚠️ 7. Disclaimer of Warranties

The software is provided "as is" and "as available," without warranty of any kind.

To the fullest extent permitted by applicable law, JL Tools expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

JL Tools does not warrant that the software will be error-free, uninterrupted, virus-free, or that any defects will be corrected. You assume all risk associated with using the software, including any risk of data loss.

You are solely responsible for maintaining appropriate backups of your data. JL Tools shall not be liable for any data loss resulting from use of the software.

🛡️ 8. Limitation of Liability

To the maximum extent permitted by law, JL Tools shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the software.

JL Tools's total liability to you for any claim under this EULA shall not exceed the amount you paid for the specific software product giving rise to the claim in the twelve (12) months preceding the claim. If the software was provided free of charge, JL Tools's liability shall not exceed US$50.00.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if JL Tools has been advised of the possibility of such damages. Some jurisdictions do not allow these limitations, so they may not apply to you.

🗑️ 9. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice if you fail to comply with any of its terms.

JL Tools may also terminate this EULA at any time if you breach any provision, abuse the licensing system, or engage in fraudulent activity.

Upon termination, you must immediately:

• Cease all use of the software.
• Delete all copies of the software from your devices.
• Destroy any backup copies in your possession.

Sections 3, 7, 8, 10, and 11 of this EULA survive termination.

🌍 10. Export Compliance

The software may be subject to US export control laws, including the Export Administration Regulations (EAR). You agree to comply with all applicable export laws and regulations. You represent and warrant that:

• You are not located in a country subject to US government embargo or sanctions.
• You are not listed on any US government list of prohibited or restricted parties.
• You will not export or re-export the software to any prohibited country or party.

⚖️ 11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law provisions. Any disputes arising from this EULA shall be resolved in accordance with the dispute resolution provisions of our Terms of Service, including the binding arbitration clause.
